Terms of Service

By using the HipChat.com web site and application ("Service"), all services of HipChat, Inc. ("HipChat"), you are agreeing to be bound by the following terms and conditions ("Terms of Service").
HipChat reserves the right to update and change the Terms of Service without notice. New features that change the current Service shall be subject to the Terms of Service. Continued use of the Service after any such changes shall constitute your consent to such changes. You can review the most current version of the Terms of Service at any time at: http://www.hipchat.com/terms.
1. Privacy
Your privacy is very important to us. We designed our privacy policy to make important disclosures to you about how we collect and use the information you share on HipChat. We encourage you to read the Privacy Policy and use the information it contains to help make informed decisions.
2. Registration and Account Security
By signing up for and using HipChat you agree to the following:
- You will not use HipChat if you are under 13 years of age.
- You must have a valid email address.
- You will not provide any false personal information on HipChat, or create an account for anyone other than yourself without permission.
- Your login may only be used by one person. Sharing a single login with multiple people is not allowed. You can create separate accounts for more people. We will notify you if the number of accounts changes your pricing plan.
- You will not share your password, let anyone else access your account, or do anything else that might jeopardize the security of your account.
- You are responsible for all content posted and activity that occurs under your account (even if content is posted by someone else using your account).
- You will not use the Service for any illegal purposes. You will not violate any laws in your jurisdiction.
If you violate the letter or spirit of this statement, or otherwise create possible legal exposure for us, we can stop providing all or part of HipChat to you. We will generally try to notify you, but have no obligation to do so. You may delete your account or uninstall the application at any time.
3. Payment, Refunds, Upgrading and Downgrading Account Terms
All accounts have a 30 day free trial. A valid credit card is required after the 30 day period if you wish to continue using the Service. If you do not upgrade to a paying account, all content and data about your group and member accounts will be deleted after 90 days. The amount and nature of access you have to your data at the end of the 30 day free trial is at the sole discression of HipChat and can change at any time.
Paying accounts are billed on a monthly basis and are non-refundable. If an account is canceled, refunds for partial months of service or refunds for months unused with that account will not be made.
Fees do not include taxes, levies, or duties imposed by taxing authorities, and you will be responsible for payment of all such taxes, levies, or duties, excluding only United States (federal or state) taxes.
If you upgrade or downgrade your plan type, the credit card that you provided will automatically be charged the new rate on your next billing cycle.
You may change the credit card being used any time in the Plans & Billing section of the admin page.
Downgrading your Service may cause the loss of content, features, or capacity of your Account. HipChat does not accept any liability for such loss. We will try to notify you if this will happen.
4. Cancellation and Termination of Services
You are solely responsible for canceling your account. You can cancel your account at any time by clicking on the Plans & Billing section of the Admin page.
All of your content (text and files) will be deleted from the Service 90 days after the date of cancellation. This information can not be recovered.
If you cancel the Service before the end of your current paid month, your account will remain active until the end of the current billing cycle. No partial refunds will be given.
HipChat has the right to suspend or terminate your account and refuse any and all use of the Service for any reason at any time. Such termination of the Service will result in the deactivation or deletion of your Account or your access to your Account, and of all content in your Account.
HipChat reserves the right to refuse service to anyone for any reason at any time.
5. Modifications to the Service and Prices
HipChat reserves the right at any time to modify or discontinue the Service (or any part thereof) with or without notice.
Prices of all paying plans are subject to change. You will receive 30 days notice from us. Notice may be provided at any time by posting the changes to the HipChat Site (http://www.hipchat.com/) or the Service itself.
HipChat is not liable to you for any modification, price change, suspension or discontinuance of the Service.
6. Copyright and Content Ownership
All content posted on the Service is must comply with U.S. copyright law.
We claim no intellectual property rights over the material you provide to the Service. Your profile, chats, files, and materials uploaded remain yours. However, if you or anyone else makes any content public, you agree to allow others to view and share your content.
HipChat does not screen content, but HipChat has the right (but not the obligation) in their sole discretion to refuse or remove any content.
The look and feel of the Service is copyright © HipChat, Inc. All rights reserved. You may not duplicate, copy, or reuse any portion of the HTML/CSS or visual design elements without expressed written permission from HipChat.
7. API
The API (Application Programming Interface) allows groups to access account and member data for use in other applications. API usage is subject to the all the terms in this document, as well as the following:
- We reserve the right to terminate or suspend your usage of the API at any time if we detect usage we determine to be abusive or harmful to the service.
- You will not share your API authentication token with anyone who should not have access to the group's data.
8. General Conditions
We try to keep HipChat bug-free and safe but use it at your own risk. We are providing HipChat "as is". HipChat is not responsible for any damages, loss of profits, or other damage done to your company or employees.
HipChat uses third party vendors and hosting partners to provide hardware, software, networking, storage, and related technology required to run the Service.
You will not reproduce, copy, sell, or exploit any part of the Service, or access to the Service without the express written permission by HipChat.
We may remove content and accounts containing content that we determine are illegal, obscene, objectionable or violates any party’s intellectual property or these Terms of Service.
Written, verbal, or other abuse (including threats of abuse or retribution) of any HipChat customer, employee, member, or officer will result in immediate cancelation of your account and potential legal action.
You must not upload, or transmit unsolicited email messages.
You must not transmit any viruses or any code of a destructive nature.
The failure of HipChat to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. The Terms of Service constitutes the entire agreement between you and HipChat and govern your use of the Service, superceding any prior agreements between you and HipChat (including, but not limited to, any prior versions of the Terms of Service).
